Who Needs Business Registration?

Sole Proprietors

Freelancers, retailers, small traders and consultants trading under their own name. Registration is through FBR, where your NTN is updated to reflect business income. Quick and inexpensive — but you carry unlimited personal liability.

Business Partners

Two or more people sharing capital and profit register as a partnership firm (AOP) with the Registrar of Firms. Registration is not strictly compulsory, but an unregistered firm cannot sue to enforce its own contracts.

Companies & Corporate Suppliers

A private limited company registered with SECP is a separate legal person with limited liability. Corporate clients, foreign buyers and most banks strongly prefer dealing with a registered company.

Freelancers & IT Exporters

The reduced tax rate on IT and IT-enabled export services is only available to properly registered and documented taxpayers. Many remote earners lose this benefit simply because they never formalised their status.

Anyone Already Trading Informally

If you are receiving business payments into a personal account, registration is not optional — it is overdue. Undocumented business income eventually surfaces through banking data, and FBR notices follow.

Step 2: Documentation

We prepare everything required — CNIC copies, proof of business address, partnership deed or Memorandum and Articles of Association, and the relevant SECP or Registrar forms.

Step 3: Filing & Follow-Up

We file with SECP or the Registrar of Firms, respond to any objections raised, and track the application until your registration certificate is issued.

Step 4: Tax Registration

Once the entity exists, we obtain its NTN from FBR, complete sales tax registration if applicable, and hand you a compliance calendar for the year ahead.

Frequently Asked Questions

A sole proprietorship NTN can usually be completed within a few working days. Partnership registration with the Registrar of Firms typically takes two to three weeks. SECP company incorporation is often completed within a week when documents are clean and the proposed name is available.

A sole proprietorship is not separate from you — your personal assets are exposed to business liabilities, and business income is taxed in your individual return. A private limited company is a separate legal person with limited liability, taxed under corporate rates and subject to SECP compliance requirements.

It is not legally mandatory, but an unregistered firm cannot file suit to enforce its contracts, which leaves you without recourse in a dispute. Registration also lets the firm obtain its own NTN and open a bank account in the firm’s name.

Yes. Most freelancers begin as sole proprietors with an updated NTN, and register with PSEB to access the reduced IT export tax rate. Once income grows or clients require it, converting to a private limited company is straightforward.
